BLINDTRACK SERVICES LIMITED (registration 4569801) CONDITIONS OF SALE1. GENERALThe headings in these conditions are for convenience only and shall not affect their interpretation. Blindtrack Services Limited may also be referred to as "The Company" in these conditions. 2. SETTLEMENT2.1 Payment for goods is due 30 days from the date of invoice. 2.2 In the event of any payment becoming overdue (and without prejudice to ny other right the Company may have) the Company shall be entitled to Charge interest at the rate of (one and a half per cent per month) (1.5%) over Barclays Bank Plc base rate to run from the date for payment there of until receipt by the Company of the full amount whether before or after judgement. 3. SMALL ORDERS
3.1 An Order may not be cancelled or varied after acceptance without the written consent of the Company. Such cancellation or variation shall be subject to such reasonable charges as may be appropriate. (See paragraph 5). 4. RETURNS
No goods will be accepted for credit unless the Company’s previousconsent in writing has been obtained. Provided the Company agrees tothe return, the Company shall be entitled to invoice the Customer for and the Customer shall pay a minimum handling charge of 20% for stock 5. CANCELLED ORDERS
The Company shall be entitled to invoice the Customer for and the Customer shall pay for a 20% handling charge on cancelled orders for ex-stock items and a 50% handling charge on made to measure items dependent upon the stage of manufacture. Fabric cut to order will be invoiced accordingly. 6. "SPECIAL" LENGTH TRACKS"Specials" are welcome on all tracks except hand-drawn curtain tracks, which can be easily cut to length by the customer. Special lengths on corded tracks will be charged to the nearest standard length above. Special shower rails: price on application. 7. RETENTION OF TITLE7.1 It is a condition of the contract that the property in all the goods to be delivered by the Company to the Customer shall remain vested in the Company until payment due under all contracts between the Company and the Customer has been made in full. 7.2 Upon the fitting of the goods into any structure or sub-structure at the premises or site of the Customer or its clients the property and the goods both in law and in equity shall thereupon vest in the Company until payment due under all contracts between the Company and the Customer has been made in full. 7.3 Until payment due under all contracts between the Customer and Company has been made in full the Customer shall hold the goods on trust for the Company and shall be liable at the request of the Company at any time to deliver up the goods to the Company. 7.4 Notwithstanding that the property in all goods to be delivered to the Customer by the Company shall remain vested in the Company until the Company has received payment in full, the risk of damage to or loss of all or any such goods shall pass to the Customer forthwith upon delivery there of to the Customer. 7.5 The Company reserves the right to repossess any goods supplied to the Customer which remain the Company’s property here under and thereafter to resell the same and for this purpose the Customer hereby grants an irrevocable right to the Company through its servants and agents to enter upon all and any premises on which the goods may be. This right shall continue not withstanding termination of the contract for any reason whatsoever.
7.6 Without prejudice to any other rights of the Company against the Customer the Company shall be entitled immediately to terminate each or any of its contracts with the Customer at any time upon the occurrence of any of the following events:- (ii) If the Customer being a company is wound up (whether compulsorily or voluntarily) or a receiver of its assets is appointed or a wind-up petition is presented or any other step taken to wind-up the Customer or place it in receivership or (iii) If the Customer makes default in respect of any of its obligations under any of its Contracts with the Company. Upon occurrence of any of the said events (notwithstanding anything to the contrary herein) all amounts in respect of any goods sold by the Company to the Customer shall become immediately due and payable. 8. TRADE TERMS
The Company reserve the right to review prices, discount levels, discounts and terms at any time and therefore these are subject to alteration without notice. Orders are to be accepted at prices, discount 9. VATPrices are inclusive of VAT charged at the current rate. 10. CLAIMSAny claim for damages must be received by the Company – ‘and any carrier engaged in the transport of the Goods’ – in writing (other than on the carrier’s delivery note), within 3 days of receipt of the Goods by the Customer. Claims for loss in transit must be submitted within 10 days of despatch of the Goods. 11. PRODUCT CHANGESThe policy of the Company is one of continuous improvement; the Company therefore reserves the right, without notice to change designs or specifications of all our Goods described in this price list, or temporarily withdraw goods from it. 12. FORCE MAJEUREThe Company shall be under no liability to the Customer in any way whatsoever for destruction, damage, delay or any other matters of any nature whatsoever arising out of war, rebellion, civil commotion, strikes, lock outs and industrial disputes, fire, explosion, earthquake, act of God, flood, drought or bad weather, the unavailability or late delivery of supplies, inability to secure labour, or requisitioning or other act or order by any Government department, Council or other duly constituted body. 13. ENGLISH LAWAny contract formed by acceptance of the Customer’s order shall be construed and governed in all respects according to English Law. 14. BLINDTRACK SERVICES LIMITED (General Terms)14.1 Product Prices guaranteed until January 2005. 14.2 All Electrics are by others in strict accordance with Silent Gliss Wiring Diagrams, which are available on request from the Blindtrack Services Limited Sales Office. Wiring should be in place prior to Blindtrack Services Limited fitters carrying out final connections. Extra visits may be charged if additional works/visits due to wiring and cabling not carried out to the specification of the issued wiring diagram. 14.3 Fabrics quantities are estimated only are subject to increase/decrease depending on the width of the fabric and pattern repeats. Additional costsmay be appropriate. 14.4 Blindtrack Services Limited guarantee for fabricated items, one year from the date of installation or payment in full.
14.5 All property and ownership remains with the company until fullpayments are received. 14.7 Lead Times on all quotations are estimated and should be used only for guideline purposes only. Every effort will be made to try and deliver ordered products within the estimated lead times provided. 14.8 Faults/Damages and grievances should be reported to Blindtrack ServicesLimited as soon as possible. On evaluation the sales department will issue instructions to the manufacturer to proceed with repairs or replacements under the guarantee. If product is not paid for then the guarantee might be invalid and is up to the discretion of the company. |
